PROBROU STORE OWNER TERMS
Effective Date: September 2, 2026
These Store Owner Terms (“Store Owner Terms”) apply to any User who creates, operates, manages, or uses a Store on Probrou. By creating or operating a Store, you agree to these Store Owner Terms, the Probrou Terms of Service, Terms & Conditions, Privacy Policy, Store/Product Rules, Store/Product Disclaimer, and other applicable Probrou policies. If you do not agree to these terms, you must not create or operate a Store on Probrou.
ABOUT PROBROU STORES
Probrou provides digital storefront functionality that allows eligible Users to create an online Store and showcase products. A Store may allow a Store Owner to:
- Create a Store profile;
- Add product variations;
- Add Store information;
- Provide pickup or delivery information;
- Add a Store address or business location;
- Communicate with interested Customers;
- Showcase products;
- Receive product-related inquiries;
- Add product images and videos;
- Build an online presence without creating a separate website.
- Add product names and descriptions;
- Add prices;
- Add availability information;
Important
Store Owners are responsible for the accuracy of information provided in their Store and for complying with all applicable laws and Probrou policies.
2. WHO CAN CREATE A STORE
Any User who satisfies Probrou's applicable eligibility requirements may be permitted to create a Store. A Store Owner may be an:
- Individual;
- Merchant;
- Creator;
- Business owner;
- Organization;
- Other eligible User.
A User does not necessarily need to operate through an incorporated or formally registered company to create a Store unless such registration is required by applicable law.
Store Owners are responsible for determining whether their business activities require:
- GST registration;
- Business registration;
- Trade licences;
- Product licences;
- Permits;
- Certifications;
- Other legal registrations or approvals.
Probrou does not determine or certify whether a Store Owner is legally permitted to sell a particular product.
3. STORE CREATION
To create a Store, you may be required to:
- Have an active Probrou account;
- Meet applicable eligibility requirements;
- Provide required Store information;
- Pay applicable Store or platform fees;
- Accept these Store Owner Terms;
- Comply with applicable laws and Probrou policies.
Providing payment or completing Store registration does not mean that Probrou has verified, certified, approved, licensed, or endorsed your business or products. Probrou may request additional information where reasonably necessary for security, fraud prevention, legal compliance, or platform operations.
4. STORE OWNER RESPONSIBILITIES
As a Store Owner, you are solely responsible for your Store and the products you display. You must:
- Provide accurate Store information;
- Provide accurate product information;
- Keep information reasonably current;
- Use lawful product images and content;
- Have the right to offer the products you display;
- Ensure your products comply with applicable laws;
- Avoid misleading Customers;
- Clearly communicate relevant product information;
- Respond honestly to Customer inquiries;
- Comply with applicable consumer protection requirements;
- Comply with applicable tax and GST requirements;
- Obtain required licences and registrations;
- Respect intellectual property rights;
- Follow the Store/Product Rules;
- Follow applicable Probrou policies.
You must not use your Store for fraudulent, deceptive, illegal, or prohibited activities.
5. PRODUCTS
Store Owners may only display products that are permitted by Probrou and applicable law. You are responsible for ensuring that products displayed through your Store:
- Are accurately described;
- Are not counterfeit;
- Are not illegally obtained;
- Are not prohibited;
- Are safe where applicable;
- Comply with applicable product laws and standards;
- Do not infringe third-party rights.
Probrou does not guarantee that every product displayed by a Store Owner has been independently inspected or verified.
6. STORE ADDRESS AND BUSINESS INFORMATION
Probrou may collect the Store Owner's Store address or business location as part of Store creation and operation. The Store Owner is responsible for ensuring that the address or location information provided is accurate. Depending on the Store's settings and functionality, Store address or location information may be visible to Customers. Store Owners should not publish unnecessary personal or sensitive information through their Store.
7. CUSTOMER COMMUNICATION
Probrou may allow Customers to communicate directly with Store Owners. Store Owners are responsible for responding to Customer inquiries honestly and appropriately. A Store Owner must not:
- Harass Customers;
- Threaten Customers;
- Mislead Customers;
- Request unnecessary sensitive information;
- Abuse Customer information;
- Use Customer information for unlawful purposes;
- Send unauthorized spam.
If a Customer voluntarily provides information such as an address or payment confirmation, the Store Owner must handle that information responsibly and in accordance with applicable law.
8. SHOP NOW
Probrou may provide a “Shop Now” feature. “Shop Now” may allow Customers to:
- View products;
- View Store information;
- Obtain additional information;
- Contact the Store Owner;
- Discuss the product with the Store Owner.
A “Shop Now” action does not automatically mean that an order or purchase has been completed. The Store Owner and Customer are responsible for deciding whether to proceed with a transaction.
9. DIRECT TRANSACTIONS
Unless Probrou expressly provides a specific transaction service, purchases between Store Owners and Customers are handled directly between those parties. Store Owners are responsible for matters including:
- Final price;
- Availability;
- Payment arrangements;
- Delivery;
- Pickup;
- Shipping;
- Invoices;
- Tax invoices;
- Returns;
- Refunds;
- Exchanges;
- Cancellations;
- Warranties;
- Product support.
Probrou is not automatically a party to a direct transaction merely because the Customer discovered or contacted the Store through Probrou.
10. TAX, GST AND REGULATORY COMPLIANCE
Store Owners are solely responsible for determining and complying with all applicable:
- GST requirements;
- Income tax requirements;
- Tax requirements;
- Invoicing requirements;
- Licensing requirements;
- Registration requirements;
- Product regulations;
- Consumer protection requirements;
- Advertising requirements;
- Other regulatory requirements.
Store Owners must obtain professional advice where necessary. Probrou does not determine whether a Store Owner must register for GST or any other tax or regulatory system. Creating a Store on Probrou does not constitute GST, tax, business, licence, or government approval.
11. PAYMENT TO PROBROU
Probrou may charge Store Owners a Store fee, subscription fee, platform fee, or other applicable fee for Store functionality. Such fees are payments for Probrou's platform services. They are separate from any payment made by a Customer to a Store Owner for a product. Payment of a Probrou Store fee does not mean that Probrou has received payment for the Store Owner's products.
12. CUSTOMER PAYMENTS
Unless expressly stated otherwise, Probrou does not collect or process payments for products sold directly by Store Owners. Store Owners must independently arrange lawful payment methods with Customers. Probrou does not require Store Owners to submit Customer payment screenshots or payment proof for direct transactions unless a specific Probrou feature expressly requires it.
13. DELIVERY, RETURNS AND REFUNDS
Store Owners are responsible for delivery, pickup, shipping, returns, refunds, exchanges, cancellations, and warranties relating to their direct transactions with Customers. Store Owners must comply with applicable law and any commitments they make to Customers. Probrou does not automatically provide these services.
14. CUSTOMER INFORMATION
Store Owners may receive information that Customers voluntarily provide through Probrou's communication features. Store Owners must:
- Use Customer information only for lawful purposes;
- Protect information appropriately;
- Avoid unnecessary collection;
- Avoid unauthorized disclosure;
- Comply with applicable privacy and data-protection laws.
Store Owners must not sell or misuse Customer information obtained through Probrou.
15. INTELLECTUAL PROPERTY
Store Owners must have appropriate rights to use:
- Product images;
- Videos;
- Logos;
- Brand names;
- Product descriptions;
- Marketing material;
- Other intellectual property uploaded to their Store.
You must not upload or use third-party intellectual property without authorization. You remain responsible for Content you upload.
16. PROHIBITED STORE ACTIVITIES
Store Owners must not use a Store to:
- Sell illegal products;
- Sell prohibited products;
- Promote counterfeit goods;
- Conduct scams;
- Mislead Customers;
- Manipulate prices deceptively;
- Publish false claims;
- Impersonate another business;
- Falsely claim authorization;
- Misrepresent GST or licence status;
- Use stolen intellectual property;
- Collect unnecessary personal information;
- Conduct unlawful financial activity;
- Engage in harassment or abuse;
- Violate applicable law.
17. STORE MODERATION AND ENFORCEMENT
Probrou may review Store information, products, Content, or activity where reasonably necessary to:
- Enforce its policies;
- Protect Users;
- Prevent fraud;
- Address complaints;
- Maintain platform safety;
- Comply with law.
Probrou may:
- Remove products;
- Restrict Store visibility;
- Disable Store features;
- Suspend a Store;
- Terminate a Store;
- Suspend or terminate the associated account.
Payment of a Store fee does not guarantee continued Store availability.
18. NO ENDORSEMENT
A Store appearing on Probrou does not mean that Probrou:
- Endorses the Store Owner;
- Guarantees the Store Owner;
- Certifies the business;
- Certifies the products;
- Guarantees product quality;
- Guarantees product authenticity;
- Guarantees product safety;
- Guarantees a transaction.
19. STORE OWNER INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, damages, costs, and expenses arising from:
- Your Store;
- Your products;
- Your Content;
- Your transactions with Customers;
- Your failure to comply with applicable law;
- Your tax or GST obligations;
- Your advertising;
- Your intellectual property violations;
- Your misuse of Customer information;
- Your violation of these Store Owner Terms.
Nothing in this section limits rights or protections that cannot legally be excluded.
20. CHANGES TO STORE SERVICES
Probrou may modify, suspend, or discontinue Store features. Probrou may introduce additional Store requirements or policies where reasonably necessary. Material changes may be communicated where required by applicable law.
21. ACCEPTANCE
By creating or operating a Store, you confirm that:
- You have read these Store Owner Terms;
- You understand your responsibilities;
- You agree to comply with applicable laws;
- You agree to the Probrou Terms of Service and Terms & Conditions;
- You understand that Probrou is not automatically the seller of your products;
- You understand that direct product transactions are generally between you and the Customer.
